Spreading the risk of Thoroughbred ownership over several owners, and several horses (the only way to significantly increase chances for success) is the strength of the partnership concept. Statistically speaking, middle to upper range purchases have greater chances for success, so why not come on board with a partnership operation based in the heart of Kentucky, and get more horses for your money.
Many owners would like to play at the top level of the industry, but find the resources required to play at that level to be very demanding, and with increased risk. Many first-time owners elect to become involved in partnerships for the proportioned initial investment and the reduced recurring expenses. Many Dapple clients participate in our partnerships in addition to their solely owned horses for enhance their diversification.
Partnerships are formed for all types of investments, and Dapple Bloodstock offers partnerships for racing, pinhooking, and broodmares.
The limited liability company (LLC) is rapidly replacing the general partnership. The popularity of the LLC is derived from a combination of several desirable features:
1. The LLC is treated as a partnership for federal and state tax purposes. 2. The owner's personal assets are shielded from the LLC's liabilities and obligations. 3. The LLC affords its organizers substantial flexibility in structuring the management and profit-sharing. 4. The depreciation and losses typically generated in early years provide large tax savings for the investors.

| Current Partnership Investment Opportunities |

Typically, a Dapple resale partnership will be announced 60 days before the auction process begins, with the units to be sold and paid for within 15 days after the auction. Resale partnerships have a short time line with a definite end date, immediately following the sale of the inventory at specific auction venues. This is an excellent opportunity for a newcomer to learn very quickly the Thoroughbred auction atmosphere. Annually we provide our client base with two or three opportunities to participate with us in partnership ventures. The first is a yearling to two year-old venture in conjunction with Wavertree Stable in Ocala which forms in July each year. There is the occasional resale partnership owning weanlings that are raised at Dapple Stud through the winter, and of course the irresistable racing partnership from time to time.

| Dapple Broodmares 2011, LLC |
We are raising capital for a one-year broodmare strategy. The capital will be used for buying six in-foal mares from the November and January Kentucky auctions. We will sell all the resulting foals and mares (hopefully back in-foal) in the same Kentucky auction markets the next year, including Fasig-Tipton’s November Sale, Keeneland’s November and/or January Sales.
They will board and foal out at the 900 acre Dapple Stud, which is a must see. Once they foal, they are bred back to suitable stallions and turned out to pasture to raise their new foals. They receive constant attention from farm professionals and some of the best veterinarians in the industry.

It's time to have some fun racing nice horses and trying to win big races! These colts and fillies come from a primary set of young Thoroughbred mares at Dapple Stud, culled from many years of market study, and representing certain Thoroughbred families believed to be slated for success.
Raising foals to race is a luxury few can know, but it is very manageable with this format. The partners are encouraged to watch the development of the foals and become familiar with each one, while they are in Kentucky and in Florida preparing for their race careers.

Congratulations to the 2010 LLC shareholders and managers for another fun year boasting a 25% net return. This annual event sells 10-15 nice horses each year that have gone on to bright careers in racing. Here are some of the business points that make this program appealing, aside from the excellent returns history:

This is a share-risk format: LLC capital holders have enjoyed success in recent years with they put their funds in with Mike's and Ciaran's (Dapple Bloodstock and Wavertree Stable respectively).

It is simply a 12-15 month investment: the shareholders contributions are required by September 1st each year, and returned no later than December 1st the following year. There are no additional capital calls during this time frame.

The LLC operates with a fixed $25,000 per horse in board, training, vet, shipping and insurance.

Fees are set simply at $5000 to select and 5% to sell at public auction, or 10% for private sales of the stock.

There is a 90/10 split of net profits only AFTER A 15% ROI has been achieved.

The enjoyment of owning Thoroughbred broodmares in immense. Imagine making a few trips each year to Kentucky to see your new foals play, grow and change. Why not learn the realities of Thoroughbred pregnancy, foaling, foal care, and breeding from your own ownership experience, yet in the safety of a small Kentucky partnership.
We are raising capital for a one-year broodmare strategy, offering 5% shares for $25,000 each. The capital will be used for buying six to eight in-foal mares from the November and January Kentucky auctions. They will board and foal out at Dapple Stud, and we will sell the resulting foals and mares (back in-foal) in the same Kentucky auction markets the next year.
